The book examines why parties enter into contracts, how written contracts are typically structured, and how and why parties use contract design and terms to achieve their goals. The authors introduce students to the common provisions of contracts and guide them through the contract lifecycle, including pre-formation activities such as Due Diligence, preliminary negotiations, and contract drafting, as well as contract formation, execution, and modification, and dispute resolution activities such as interpretation, enforcement, and defenses.
